1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GetStrive Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of the Strive platform, including our website, mobile applications, and all related services (collectively, the "Platform").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. DESCRIPTION OF SERVICE

Strive is a mentorship platform that connects learners with mentors to facilitate educational and professional development. The Platform enables:

Mentor-learner matching and communication
Course creation and enrollment
Goal setting and progress tracking
File sharing and media uploads
Payment processing for mentor services
Chat messaging and multimedia communication
Submission and feedback systems

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

You must be at least 13 years of age to use the Platform. Users under 18 must have parental or guardian consent. We do not knowingly collect personal information from children under 13.

3.2 Account Registration

To access certain features, you must create an account by providing accurate, current, and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Immediately notifying us of any unauthorized use
Ensuring your account information remains accurate and up-to-date

3.3 Account Verification

We reserve the right to verify your identity and may require additional documentation for mentor accounts or payment processing.

4. USER RESPONSIBILITIES AND CONDUCT

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not:

Violate any applicable laws, regulations, or third-party rights
Impersonate any person or entity or misrepresent your affiliation
Engage in harassment, abuse, or discriminatory behavior
Upload, transmit, or distribute harmful, offensive, or inappropriate content
Attempt to gain unauthorized access to the Platform or other users' accounts
Use automated systems (bots, scrapers) without express written permission
Interfere with or disrupt the Platform's functionality or security
Engage in any commercial use without our prior written consent
Share account credentials or allow others to use your account

4.2 Professional Conduct

Mentors and learners must maintain professional standards in all interactions, including:

Providing honest and accurate information about qualifications and experience
Respecting confidentiality and privacy of all parties
Delivering services as promised and agreed upon
Maintaining appropriate boundaries in mentor-learner relationships

4.3 Prohibited Content

You may not upload, post, or transmit content that:

Is illegal, harmful, threatening, abusive, or defamatory
Infringes intellectual property rights
Contains malware, viruses, or malicious code
Is sexually explicit or inappropriate
Promotes violence, discrimination, or illegal activities
Violates privacy rights of others
Contains false or misleading information

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Platform Content

The Platform and all content, features, and functionality are owned by Company and protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, distribute, or create derivative works
Reverse engineer or attempt to extract source code
Remove or alter proprietary notices
Use our trademarks without written permission

5.2 User Content

You retain ownership of content you create and upload ("User Content"). By submitting User Content, you grant Company a worldwide, non-exclusive, royalty-free, transferable license to:

Use, reproduce, modify, and distribute your User Content
Display your User Content on the Platform
Create derivative works for Platform improvement
Sublicense these rights to third parties as necessary for Platform operation

5.3 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable.

6. PAYMENT TERMS

6.1 Payment Processing

Payments are processed through third-party payment processors. By making payments, you agree to their terms and conditions.

6.2 Fees and Charges

Mentor fees are set by individual mentors
Platform fees may apply to transactions
All fees are non-refundable unless otherwise specified
Prices are subject to change with notice

6.3 Refund Policy

Refunds are handled on a case-by-case basis according to our Refund Policy. Generally:

Service-related disputes should be resolved between mentor and learner
Platform technical issues may warrant refunds at our discretion
Refund requests must be submitted within 30 days of payment

6.4 Payment Disputes

For payment disputes:

Contact customer support first
Chargebacks may result in account suspension
We reserve the right to investigate and resolve disputes

7. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

7.1 Data Usage Rights

By using the Platform, you consent to our collection and use of your data as described in our Privacy Policy, including:

Personal information for account management
Usage data for Platform improvement

Payment information for transaction processing

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Content Disclaimer

We do not endorse, guarantee, or assume responsibility for:

User Content or third-party content
Mentor qualifications or service quality
Accuracy of information provided by users
Outcomes of mentorship relationships

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
